1. Acceptance of Terms

By accessing or using BackHumans ("the Platform"), operated by Rizq Labs AI LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

2. Description of Service

BackHumans is a social-financial platform that connects builders seeking non-dilutive capital with backers seeking revenue-participation returns. The Platform facilitates Project-Based Revenue Participation Agreements (PRPAs) between parties.

3. Eligibility

You must be at least 18 years old and a legal resident of the United States to use this Platform. Backers must meet accredited investor requirements as defined by the SEC during our initial launch phase.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration.

5. PRPAs and Financial Transactions

PRPAs are legally binding agreements between builders and backers. BackHumans facilitates but is not a party to these agreements. All funds are held in escrow through our payment partner until deal conditions are met. BackHumans charges a platform fee on successful raises and distributions.

6. Content and Conduct

You retain ownership of content you post. By posting, you grant BackHumans a non-exclusive license to display your content on the Platform. You agree not to post false, misleading, or fraudulent financial information. Misrepresentation of revenue or business metrics may result in account termination and legal action.

7. Fees

BackHumans charges a 5–8% fee on successful capital raises and a 3–5% fee on revenue distributions. Fee schedules are disclosed before any transaction is initiated. Joining the Platform and posting content is free.

8. Risk Disclosure

Participating in PRPAs involves risk. Backers may not receive their full expected return if a builder's project does not generate sufficient revenue. Past performance does not guarantee future results. BackHumans does not provide investment advice.

9. Limitation of Liability

BackHumans is provided "as is" without warranties of any kind. Rizq Labs AI LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform or participation in any PRPA.

10. Governing Law

These Terms shall be governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Orange County, Florida.
